These Terms and Conditions apply to the purchase of products and/or electrical installation services provided ("the Goods and Services"). Acceptance of Terms
These are the terms on which we sell all Goods and/or Services to you. By ordering any Goods and/or Services, you agree to be bound by these Terms and Conditions. By emailing your instructions or paying a deposit invoice, you confirm that you accept our terms and conditions and will adhere to the contract. You may only purchase the Goods/Services if you are eligible to enter into a contract and are at least 18 years old.
1. PRICE AND PAYMENT
1.1. The price for the Goods and/or Services ("the Price") shall be the price as stated on the quotation or estimate provided by Skylon Electrical, or such other price as the parties may agree in writing or orally.
1.2. For a "supply only" sale (i.e., where electrical products are sold without installation at the Customer’s property), before any works commence, a non-refundable deposit of 50% of the total estimate or quotation must be paid to Skylon Electrical. Once the deposit has been paid, this will enable us to schedule any necessary drawings or plans for customer approval. Upon approval, a collection/delivery date will be provided. On completion of works, a balance invoice will be issued for the remaining 50% of the total estimate or quotation. Payment of the balance shall be made by the Customer upon collection of goods from our premises or upon delivery.
1.3. For an "installation" sale (i.e., where electrical goods are installed or work is carried out at the Customer’s property), a non-refundable deposit of 50% of the total estimate or quotation must be paid before any works commence. Once the deposit is paid, this will enable us to schedule drawing or planning works for customer approval. After approval, installation and work dates will be confirmed. Once we have procured the electrical items and materials, an interim invoice for 40% of the total job value will be sent, which must be paid before installation. The balance invoice of 10% of the total job value will be issued upon completion. Payment of the balance must be made within 5 days of the invoice date.
1.4. Skylon Electrical reserves the right to claim interest and compensation for debt recovery costs under the late payment legislation if payment is not received according to agreed terms.
1.5. Deposits are held for a maximum of 12 months, after which, if the company is unable to start work through no fault of its own, the contract will be canceled unless specifically agreed in writing.
1.6. Refunds will be offered solely at the discretion of the Company. Once approved, refunds will be processed within 28 days.
1.7. Any cancellation by the client, whether verbal or in writing, after the deposit is taken, will result in the client being liable for the full cost of the project.
1.8. All businesses must confirm in writing to us that they are an End User and that VAT should be charged as per normal practice.
1.9. A 3.0% discount is available on invoices paid in full after the quotation is agreed, and before any works commence.
2. QUOTATIONS
2.1. Any quotation provided by Skylon Electrical shall be valid for acceptance by the Customer for 14 days from the date of the quotation. Skylon Electrical must accept an order based on the quotation within this 14-day period.
2.2. The price quoted is exclusive of VAT, and any costs or charges related to packaging, delivery, or insurance (if applicable) shall be due at the rate prevailing on the date of the Skylon Electrical invoice unless otherwise stated.
2.3. Unless agreed otherwise in writing, no quotation shall be subject to any discount.
3. GOODS AND SERVICES
3.1. All Goods and Services provided must conform to the specification as per the order for Goods by the Customer, as accepted by Skylon Electrical, or as otherwise agreed in writing or orally.
3.2. Any order for Goods and Services sent by the Customer to Skylon Electrical shall be deemed accepted subject to these Conditions.
3.3. Each order for Goods and Services accepted by Skylon Electrical shall be considered a legally binding contract between the parties.
4. DELIVERY AND INSTALLATION
4.1. The Customer shall be deemed to have accepted the Goods upon completion of the installation work, or upon delivery or collection for a "supply only" sale.
4.2. Skylon Electrical will not be liable for delays or failure in delivery or installation if the delay or failure is caused by factors beyond our control.
4.3. All risk in the Goods shall pass to the Customer upon completion of installation or upon delivery or collection for a "supply only" sale.
4.4. If Skylon Electrical is unable to deliver the Goods for reasons beyond our control, we are entitled to store the Goods at the Customer's expense until delivery is possible.
4.5. Any cancellation of an order must be made in writing by the Customer. The Customer is liable for any materials ordered or work completed up until the time of cancellation.
4.6. Skylon Electrical is happy to undertake insurance work; however, the Customer remains responsible for paying the invoice, not the insurance company.
5. TITLE TO GOODS
5.1. Skylon Electrical warrants that it has good title to the Goods and will transfer ownership to the Customer upon full payment.
5.2. Title to the Goods shall not pass to the Customer until full payment is made for the Goods. Skylon Electrical reserves the right to take legal action against the Customer for payment.
5.3. Any unwanted items removed by Skylon Electrical from the Customer’s property as debris or rubbish become the property of Skylon Electrical.
5.4. Skylon Electrical Ltd will retain ownership of all manufactured, supplied, or fitted goods until payment is received in full. We reserve the right to remove any of our property if payment is not made.
6. DAMAGE IN TRANSIT
6.1. If the Goods are damaged during transportation arranged by Skylon Electrical, the Customer must notify us within 24 hours of delivery. We will replace or repair the damaged Goods if we determine the damage occurred during transit.
7. GUARANTEE
7.1. If the Goods or installation work are found to be defective, Skylon Electrical will repair or replace the defective Goods free of charge, subject to the following conditions:
7.1.1. The Customer must notify Skylon Electrical within 5 days of the defect being discovered.
7.1.2. The defect must be due to Skylon Electrical’s faulty design, workmanship, or materials.
7.1.3. The Customer must follow Skylon Electrical's instructions for storage, installation, and maintenance of the Goods.
7.1.4. The defect must not be due to rot, insect infestation, or improper use.
7.2. Goods to be repaired or replaced under Clause 7.1 must be returned to Skylon Electrical at the Customer’s expense.
7.3. Where the Goods were manufactured by a third party, Skylon Electrical will, where possible, pass on any warranty from the third party to the Customer.
8. LIMITATION OF LIABILITY
Skylon Electrical’s liability to the Customer for any loss, damage, or claim arising from the provision of Goods or Services shall not exceed the total price paid by the Customer for those Goods or Services. Skylon Electrical will not be liable for any indirect or consequential loss.
9. FORCE MAJEURE
Skylon Electrical shall not be liable for any failure or delay in performance due to circumstances beyond its reasonable control, including but not limited to natural disasters, strikes, or supply chain disruptions.
10. GOVERNING LAW AND JURISDICTION
These Terms and Conditions shall be governed by and construed in accordance with the laws of England and Wales. Any disputes arising from these terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
